Candidate selection
We evaluate the attractiveness and fit of potential acquisition targets, whether screening a field of hundreds of candidates or conducting in-depth pre-due diligence analysis of a single candidate. Throughout the process, we work alongside our client to refine the rationale for and requirements of an acquisition.
Commercial due diligence
We play a key role in due diligence, evaluating independently the commercial viability and value creation potential of a transaction. We gather and analyse data on the target companys markets, competitors and customers, conduct industry interviews and debrief management. Drawing on these learnings, and our experience and judgement, we then comment on the feasibility of management business plans and support development of the valuation model.
We also conduct due diligence on behalf of the vendor where the purchase consideration is wholly or partially in the form of a stake in the acquiring company or in the new combined entity.
Post-acquisition planning
Prior to and following an acquisition, we support management in the development of post-acquisition plans. We also have expertise in providing clean teams to engage with both sides in the period prior to the transaction gaining regulatory approval, to keep the acquisition process moving and to minimise uncertainty and distraction for management of the acquired firm.
